Standard Non Disclosure Agreement
It is typical for both parties to submit a Non Disclosure Agreement before any sensitive information is released. The Non-Disclosure Agreement (NDA) is a necessary component in the sale or purchase of a business. The current business owners typically ask that all inquiring parties complete a non-disclosure agreement before any information is released. This is a safety precaution for them because their customers, employees and competitors may not be aware the business is for sale, and it may cause irreparable damage if this sensitive information were released to the public. It also protects the interests of both the seller and buyer during the initial stages of negotiation.

Buyer Profile
If you are a potential buyer, you may also be asked to complete the “Buyers Profile” document. This serves two purposes; 1) to help MBA identify the ideal business opportunity for you, and: 2) ensures to the seller that you are in a position to complete a potential transaction. Our team has over 100 restaurants, convenience stores, bars and other food related businesses for sale throughout the greater DC Metro area. The more we know, the easier it will be to show you a business that best suites your specific requirements.
Once we receive the completed Buyer Profile Form and Non Disclosure Agreement from you (faxed or emailed), we can then contact you to discuss the next steps in your search for your new business and release detailed marketing packages for businesses that fit your search criteria.

Broker Agreement
Finally, there may be a Broker Agreement that should be reviewed, signed and submitted. The Broker Agreement sets the stage for a relationship between the client (buyer or seller) and MBA.
